Terms of Service
1. Parties to the Agreement
These Terms of Service ("Terms") constitute an agreement between BeDigital PLC, a private limited company incorporated and operating under the laws of the FDRE (Federal Democratic Republic of Ethiopia) ("ShadoShops", "we", "us", or "our"), and any person who accesses or uses the ShadoShops platform ("User", "you", or "your").
2. What ShadoShops Is
ShadoShops is an online social-commerce and marketplace platform operated by BeDigital PLC. The platform allows users to discover and interact with product-related content, purchase products, operate shops, promote products, and participate in other services made available through the platform.
ShadoShops primarily facilitates transactions between customers and independent sellers. ShadoShops generally does not own, manufacture, or sell the products listed by independent sellers and does not act as the seller of those products. The seller is responsible for the products they list and sell through the platform, subject to the applicable terms and policies.
ShadoShops primarily facilitates the sale and delivery of products within Ethiopia. Users located outside Ethiopia may also use ShadoShops to purchase products for delivery to recipients in Ethiopia, where such transactions and payment methods are supported.
The specific features and services available through ShadoShops may vary and may be added, modified, suspended, or discontinued from time to time.
3. When an Order Becomes a Purchase
A request submitted by a Shopper to purchase a product through ShadoShops constitutes an offer by the Shopper to purchase the product at the price and under the terms displayed on the platform. Submitting an order does not by itself constitute an accepted purchase.
An order becomes accepted when the applicable Seller or ShadoShops confirms the order through the platform. Until confirmation, the Seller or ShadoShops may accept, decline, or otherwise cancel the order request.
After an order has been confirmed by the Seller, the Shopper must complete payment using one of the payment methods made available through ShadoShops within the payment period specified by the Seller.
If the Shopper does not complete the required payment within the specified period, the Seller may cancel the order and make the product available for other orders or sell the product to another Shopper. Any applicable consequences of failing to complete payment will be handled in accordance with these Terms and the applicable ShadoShops policies.
4. Who Receives the Money
Payments made by a Shopper for products purchased through ShadoShops may be received and held by ShadoShops or through payment services and financial institutions used by ShadoShops. The payment may be processed through the payment methods made available on the platform.
Before releasing the Seller's proceeds, ShadoShops may deduct applicable platform fees, commissions, payment processing or transaction costs, promotional commissions, Creator commissions, Agent commissions, refunds, adjustments, and any other amounts disclosed to the applicable user or permitted under these Terms.
After an order has been paid for, the Seller may request the release or transfer of the amount due to the Seller. ShadoShops may delay or withhold the transfer as reasonably necessary to verify the order, fulfillment, delivery, payment status, refunds, disputes, fraud prevention, or compliance with applicable laws and ShadoShops policies.
Once the applicable release conditions have been satisfied, ShadoShops will transfer the Seller's available proceeds to the payment account or other payout method provided by the Seller and supported by ShadoShops.
For purposes of processing and settling payments, funds may be transferred to or held within ShadoShops' bank account, payment account, wallet, or other legally permitted financial or payment infrastructure used by ShadoShops for its payment operations.
The timing of Seller payouts may vary depending on the payment method, fulfillment and delivery status, applicable verification procedures, financial institutions, payment providers, and other circumstances affecting the transaction.
5. Payment Methods
ShadoShops may support various payment methods and payment service providers to facilitate payments for purchases made through the platform. Available payment methods may vary depending on the Shopper's location, the transaction, the applicable Seller, the payment provider, and other factors.
ShadoShops may use third-party payment providers, including ArifPay and Chapa, as well as other payment providers that may be made available through the platform from time to time.
By using a payment method provided through ShadoShops, the Shopper agrees to comply with the applicable terms and requirements of the relevant payment provider. ShadoShops does not guarantee that any particular payment method will always be available or supported for every transaction.
6. Foreign Shoppers
ShadoShops primarily operates its marketplace in Ethiopia. However, individuals located outside Ethiopia may use ShadoShops to purchase products for delivery to an address in Ethiopia, where the applicable product, Seller, payment method, and delivery service support such transactions.
Foreign Shoppers may be able to pay using international payment methods, including Visa, Mastercard, and PayPal, where such methods are available and supported for the applicable transaction.
ShadoShops may also support purchases for delivery to countries outside Ethiopia where international delivery is available through Ethiopian Postal Service or another delivery provider supported by ShadoShops. Availability of international delivery may depend on the destination country, product, Seller, applicable delivery service, customs requirements, and other factors.
The Shopper is responsible for providing accurate delivery information and for complying with any applicable customs, import, tax, or other requirements associated with an international delivery, where applicable.
7. Seller-Arranged Delivery
Where a product is offered with Seller-arranged delivery, the Shopper may contact the Seller through the platform to request delivery of the purchased product. ShadoShops may provide the Shopper with relevant Seller contact information, such as the Seller's telephone number, email, and address to facilitate communication and coordination between the Shopper and Seller regarding the delivery.
The Seller and Shopper are responsible for communicating and agreeing on the delivery arrangements, including the delivery method, delivery location, delivery time, and any applicable delivery charges. The Seller may independently determine the delivery method and may charge the Shopper a separate delivery fee, provided that the applicable delivery terms and charges are communicated to and agreed upon by the Shopper.
ShadoShops may provide a delivery tracking feature that allows the Seller and/or Shopper to use map-based location or tracking functionality during the delivery process. The availability and accuracy of such tracking may depend on the device, network connection, location services, and other technical factors.
The use of ShadoShops' tracking feature does not make ShadoShops the delivery provider, nor does it make ShadoShops responsible for the Seller's delivery. ShadoShops provides the tracking feature as a platform service to assist the Seller and Shopper in coordinating and monitoring the delivery.
ShadoShops may record, retain, and make available relevant delivery tracking session information, including applicable location and tracking data, where reasonably necessary for customer support, dispute resolution, fraud prevention, legal compliance, or other legitimate platform purposes. Where appropriate and permitted by applicable law, ShadoShops may provide relevant tracking information to the Seller or Shopper involved in the transaction, or to a competent authority, in connection with a delivery dispute or legal matter.
Unless expressly stated otherwise by ShadoShops, ShadoShops is not responsible for Seller-arranged delivery. Any issues relating to such delivery, including delays, loss, damage, failure to deliver, incorrect delivery, or delivery charges, are primarily matters between the Seller and the Shopper.
The Seller remains responsible for fulfilling the delivery arrangement agreed with the Shopper, and the Shopper is responsible for providing accurate delivery information and cooperating with the agreed delivery arrangement.
8. Shopper Pickup
Where a product is offered with Shopper Pickup, the Shopper may collect the purchased product directly from the Seller at the Seller's designated pickup location.
ShadoShops may provide the Shopper with relevant information to facilitate the pickup, including the Seller's shop address, map or location information, telephone number, email address, private chat functionality, and other information made available through the platform.
The Shopper and Seller may communicate through the contact and communication features provided by ShadoShops to coordinate the pickup, including the appropriate pickup time and any other necessary arrangements.
ShadoShops may provide map-based location or tracking functionality to assist the Shopper in locating the Seller's pickup location. The use of such functionality does not make ShadoShops responsible for the pickup or for the Seller's shop location.
No separate delivery or pickup fee may be charged by the Seller for a Shopper Pickup order. Once the Seller has confirmed the order and the Shopper has made the required payment through ShadoShops, the Seller may not require the Shopper to pay any additional amount for the product or pickup, unless the additional amount was expressly disclosed and agreed to as part of the purchase before the order was confirmed.
ShadoShops may record and retain relevant communication, location, or tracking-session information associated with the pickup where reasonably necessary for customer support, dispute resolution, fraud prevention, legal compliance, or other legitimate platform purposes. Where appropriate and permitted by applicable law, relevant information may be provided to the Seller, Shopper, or a competent authority in connection with a dispute or legal matter.
Unless expressly stated otherwise by ShadoShops, ShadoShops is not responsible for the physical pickup, the condition of the product at pickup, or disputes arising directly between the Seller and Shopper in connection with the pickup. The Seller and Shopper are responsible for completing the pickup in accordance with the applicable order and these Terms.
9. ShadoShops-Managed Delivery
ShadoShops may provide delivery services for eligible orders through delivery partners or ShadoShops Agents. Where ShadoShops-managed delivery is available, the applicable delivery method, delivery charge, and estimated delivery information will be displayed to the Shopper before or during the order process.
9.1 ShadoShops Agent Delivery
For eligible deliveries within Addis Ababa, ShadoShops may arrange delivery through a ShadoShops Agent.
Delivery Lifecycle: Shopper places an order → Seller confirms the order → Shopper completes payment → ShadoShops arranges delivery → ShadoShops Agent collects the product → Agent delivers the product to the Shopper.
The applicable delivery charge, if any, will be communicated to the Shopper through the platform. The Shopper may be required to pay the applicable delivery charge as part of the order.
ShadoShops may provide the Seller, Shopper, and ShadoShops Agent with relevant information necessary to facilitate the delivery, including delivery location, contact information, order information, and map-based location or tracking functionality.
ShadoShops may record and retain relevant delivery and tracking information associated with a ShadoShops-managed delivery for purposes including delivery coordination, customer support, dispute resolution, fraud prevention, service improvement, and legal compliance. Where appropriate and permitted by applicable law, relevant information may be provided to the Seller, Shopper, Agent, or a competent authority in connection with a dispute or legal matter.
9.2 Ethiopian Postal Service and Other Logistics Providers
For deliveries outside the areas served by ShadoShops Agents, including deliveries to other regions or cities in Ethiopia and eligible international deliveries, ShadoShops may use the Ethiopian Postal Service or other logistics and delivery providers supported by ShadoShops.
The available delivery provider and applicable delivery charge may depend on the destination, product, Seller, delivery service, and other factors. The applicable delivery cost will be communicated to the Shopper through the platform or during the order process.
The Shopper is responsible for paying the applicable delivery cost associated with the selected delivery service, unless ShadoShops expressly states otherwise.
Where a third-party logistics provider is used, the delivery may be subject to that provider's applicable terms, procedures, delivery times, tracking capabilities, and service limitations. ShadoShops may provide relevant order and delivery information to the applicable provider as necessary to fulfill the delivery.
ShadoShops may provide or display tracking information supplied by the applicable delivery provider. ShadoShops does not guarantee the accuracy, availability, or uninterrupted operation of third-party tracking systems.
10. ShadoShops Agents
10.1 Eligibility to Apply
Any person who has a ShadoShops account may apply to become a ShadoShops Agent, subject to the applicable eligibility, identity verification, guarantor, and other requirements established by ShadoShops. Applying to become an Agent does not guarantee acceptance. ShadoShops may approve or reject an application based on its verification procedures, eligibility requirements, operational needs, safety requirements, or other legitimate considerations.
10.2 Identity Verification
Agent registration requires identity verification through the Fayda National ID authentication and authorization process or another identity-verification method approved by ShadoShops. The applicant must provide the information and authorization required to complete the verification process. ShadoShops may use the verified information for Agent registration, identity verification, fraud prevention, delivery operations, account security, dispute resolution, and other legitimate purposes.
10.3 Guarantor Requirements
An Agent applicant must provide a guarantor who satisfies the requirements established by ShadoShops. The guarantor must:
- Be at least 21 years old;
- Complete the required identity verification through the Fayda National ID authentication and authorization process;
- Provide the contact information made available through the verification process;
- Not currently be a ShadoShops Agent;
- Not already be acting as a guarantor for another ShadoShops Agent; and
- Satisfy any additional requirements established by ShadoShops.
A person may not act as guarantor for more than one ShadoShops Agent at a time.
10.4 Guarantor Confirmation
Completion of identity verification alone does not constitute guarantor approval. After the guarantor's identity has been verified, ShadoShops may contact the guarantor using the contact information provided or made available through the Fayda verification process, including by telephone or email, to make an explicit request for guarantor confirmation.
The guarantor must expressly confirm their willingness to act as the applicant's guarantor in accordance with the applicable ShadoShops guarantor requirements. ShadoShops may require additional confirmation or documentation where reasonably necessary. An Agent application will not be approved until the required guarantor confirmation has been completed.
10.5 ShadoShops' Verification and Account Decisions
ShadoShops may verify an Agent applicant's identity, eligibility, guarantor information, account information, and other information relevant to the Agent program.
ShadoShops may approve, reject, suspend, restrict, or terminate an Agent's access to Agent services where permitted by these Terms and applicable law, including where ShadoShops identifies safety concerns, fraud, misuse of the platform, failure to comply with Agent requirements, failure to complete assigned deliveries, suspected theft, or other conduct that may harm ShadoShops, Sellers, Shoppers, or other users.
10.6 Agent Responsibilities
An Agent is responsible for safely receiving products from Sellers and delivering them to the applicable Shopper in accordance with the order and delivery instructions provided through ShadoShops.
When collecting or delivering a product, the Agent may be required to exchange or verify a delivery code, QR code, or other confirmation method provided by ShadoShops with the Seller and/or Shopper. These confirmations record information such as the identities involved, the relevant order, time of handover, and custody proof.
ShadoShops may retain these records for delivery verification, transparency, auditing, customer support, dispute resolution, fraud prevention, security, and other legitimate platform or legal purposes.
10.7 Agent Conduct and Delivery Tracking
Agents must conduct themselves professionally and safely while performing deliveries and must comply with the delivery instructions and applicable ShadoShops policies. Agents must use the map and location functionality provided by ShadoShops when performing ShadoShops-managed deliveries, where available.
The Agent must keep the assigned product secure and must not intentionally delay, divert, misuse, damage, conceal, or attempt to unlawfully obtain or retain any product entrusted to them for delivery.
10.8 Maximum Active Orders
Active Order Limit: Five (5) Orders
An Agent may have no more than five (5) active delivery orders assigned to them at one time. An active order means an order that has been assigned to the Agent and has not yet been completed, cancelled, or otherwise released from the Agent's responsibility through the ShadoShops platform. ShadoShops may adjust this limit from time to time based on operational, safety, or other legitimate considerations.
10.9 Agent Payments and Earnings
An Agent may earn delivery-related payments or other amounts specified by ShadoShops for completed deliveries. Available Agent earnings will be accumulated in the Agent's ShadoShops account or applicable payout balance. The Agent may request a payout in accordance with the payout procedures and requirements provided by ShadoShops.
ShadoShops may deduct applicable fees, adjustments, refunds, or other amounts permitted under these Terms before transferring available earnings to the Agent's designated payout method.
10.10 Delivery Time and Performance
Agents must complete assigned deliveries within the delivery time range or estimated delivery period provided by ShadoShops. Delivery time estimates may be calculated using factors including delivery distance, expected travel speed, route, traffic conditions, and operational parameters. Such estimates are not guarantees of a specific delivery time.
An Agent who intentionally fails to deliver an assigned product within the applicable delivery period, repeatedly abandons assigned deliveries, or otherwise materially fails to perform their delivery responsibilities may have their Agent access restricted, suspended, or terminated.
10.11 Misconduct, Theft, and Legal Consequences
An Agent must not attempt to steal, unlawfully retain, divert, or otherwise misappropriate any product entrusted to them for delivery. Suspected theft, intentional misappropriation, fraud, or other unlawful conduct may result in immediate suspension or termination of the Agent's account and may be reported to the appropriate authorities where required or permitted by law.
Where an Agent's conduct may constitute an offense or otherwise create legal liability under applicable law, ShadoShops may cooperate with lawful investigations and provide relevant records or information to competent authorities.
The legal obligations and potential liability of an Agent's guarantor will be governed by the separate guarantor agreement or undertaking accepted by the guarantor, together with applicable law. Acting as a guarantor does not, by itself, make a guarantor automatically liable for every act or omission of an Agent.
10.12 Termination of Agent Status
ShadoShops may suspend or terminate an Agent's ability to provide delivery services where the Agent fails to comply with these Terms, Agent requirements, delivery instructions, safety requirements, or applicable law.
ShadoShops may also terminate Agent status where the Agent's guarantor no longer satisfies the applicable guarantor requirements, withdraws the guarantee, becomes ineligible, or where ShadoShops reasonably determines that a replacement guarantor is required. Upon suspension or termination, the Agent must return or complete the handling of any products or orders remaining in the Agent's possession as directed by ShadoShops.
11. ShadoShops User Roles
A ShadoShops User may participate in one or more roles on the platform. These roles are functions a User may perform through their ShadoShops account and do not necessarily constitute separate account types.
A User may, for example, purchase shoes as a Shopper, sell shoes through their shop as a Seller, create product-related videos as a Creator, promote another Seller's products as a Promoter, and provide delivery services as a ShadoShops Agent.
11.1 Shopper
A User who browses, discovers, interacts with, or purchases products through ShadoShops. Any User who satisfies general account requirements may act as a Shopper and participate in delivery or pickup options.
11.2 Seller
A User who operates a shop on ShadoShops and offers products for sale. Responsible for accurate listings, inventory availability, order fulfillment, and compliance with the Seller Agreement.
11.3 Creator
A User who creates or publishes content through ShadoShops, such as product videos, images, reviews, or demonstrations. Must comply with intellectual property laws and community policies.
11.4 Promoter
A User participating in eligible promotional or referral programs. May receive commissions for verified traffic or sales without using misleading, fraudulent, or deceptive tactics.
11.5 ShadoShops Agent
A User approved by ShadoShops to provide delivery services through the ShadoShops-managed delivery system. Must meet Fayda ID verification, guarantor, training, and operational requirements. Having an account does not automatically confer Agent status.
11.6 Multiple Roles
A User may hold and use multiple roles simultaneously, provided that the User satisfies the applicable requirements for each role. Each role creates responsibilities applicable to that role. A User's participation in one role does not remove or reduce their obligations under another role. ShadoShops may restrict, suspend, or terminate a particular role without necessarily terminating the entire account.
12. Returns and Refunds
Returns and refunds on ShadoShops are governed by the ShadoShops Return and Refund Policy, which forms an integral part of these Terms.
By purchasing a product through ShadoShops, the Shopper agrees to the applicable Return and Refund Policy, which determines whether a product is eligible for return or refund, applicable timeframes, and mandatory dispute resolution steps.
13. Seller Fulfillment and Seller Agreement
Sellers are responsible for ensuring that products listed on ShadoShops are accurately described, available for sale, and consistent with the applicable product listing.
A Seller is responsible for fulfilling confirmed orders in accordance with the order, listing specifications, these Terms, and the ShadoShops Seller Agreement. If a Seller fails to fulfill a confirmed order, ShadoShops may cancel the order and refund the Shopper, as well as restrict, suspend, or terminate the Seller's shop or role.
14. Prohibited Products and Activities
Users must not use ShadoShops to list, offer, sell, purchase, promote, distribute, facilitate, or participate in transactions involving products or activities that are illegal, prohibited, fraudulent, dangerous, or otherwise restricted under Ethiopian law or ShadoShops policies.
14.1 Illegal Products
Users must not list, sell, purchase, promote, or distribute any product that is illegal under applicable law, including without limitation:
- Illegal drugs, narcotics, and controlled substances;
- Substances or equipment intended for unlawful drug use or distribution;
- Stolen goods or illegally obtained property;
- Counterfeit goods, fake products, or goods that unlawfully imitate another brand;
- Products whose sale, possession, or distribution is prohibited by law;
- Goods obtained through fraud, theft, deception, or unlawful means;
- Any other item barred from import, export, sale, or transfer.
14.2 Weapons and Dangerous Products
Users must not use ShadoShops to sell or facilitate the sale of weapons, firearms, ammunition, explosives, hazardous chemicals, or other dangerous products prohibited or regulated under applicable law.
14.3 Fraudulent or Misleading Products and Listings
Users must not create or maintain listings that are fraudulent, deceptive, misleading, or designed to misrepresent a product. This includes falsely claiming identity, origin, condition, authenticity, quality, manipulating reviews, ratings, orders, or using another's intellectual property without permission.
14.4 Other Prohibited Products
ShadoShops may prohibit or restrict additional products presenting legal, safety, regulatory, fraud, or reputational risks. ShadoShops reserves the right to remove, restrict, or suspend any listing violating these Terms.
14.5 User Responsibility
Sellers are strictly responsible for ensuring that every listed product is lawful to sell and deliver. Sellers must not use obfuscated descriptions, codes, or private communications to conceal prohibited items. Violations may result in transaction cancellation, payment withholdings, account termination, and referral to law enforcement authorities.
15. Independent Relationship
Participation in any ShadoShops role does not, by itself, create an employment, agency, partnership, joint venture, or other legal relationship between the User and BeDigital PLC, unless expressly agreed otherwise in writing or required by applicable law.
16. Age and Eligibility
You must be at least 13 years old to create and maintain a ShadoShops account. Certain features, roles (such as ShadoShops Agent or guarantor), transactions, or services may have higher age or verification requirements (such as minimum 21 years for guarantors). Meeting the baseline account age does not grant automatic eligibility to all roles or features.
17. What You Agree To
By accessing or using ShadoShops, you agree to comply with these Terms of Service, the Privacy Policy, Community Guidelines, and applicable feature policies. You agree to use ShadoShops lawfully, responsibly, and without interfering with platform operations, security, or other users.
18. User Accounts
18.1 Account Creation & 18.2 Information
You may register using supported credentials (phone number, email, etc.). You must provide accurate, current, and non-misleading information and keep it updated.
18.3 Account Security & 18.5 Activity
You are responsible for maintaining the confidentiality of your credentials and for all activity conducted through your account. Promptly notify ShadoShops if you suspect unauthorized access or compromise.
18.4 Multi-Role Access
A single account may be utilized to access multiple roles (Shopper, Seller, Creator, Promoter, Agent), subject to the verification and rules of each specific role.
18.6 Suspension, Restriction, or Termination
ShadoShops may restrict, suspend, or terminate an account or specific role for violations of these Terms, fraud, illegal actions, security threats, abuse, or harm to others.
18.7 Account Deletion
You may request account deletion through account settings. Deletion does not mandate the immediate removal of information required by law, taxation, accounting, fraud prevention, or legitimate business records, which remain governed by our Privacy Policy.
19. Content and Intellectual Property
19.1 Your Content & 19.2 License to ShadoShops
You retain ownership of User Content you submit (photos, videos, reviews, listings, text). By submitting content, you grant BeDigital PLC a non-exclusive, worldwide, royalty-free license to host, reproduce, process, adapt, display, distribute, optimize, and transmit that content for operating, marketing, and improving ShadoShops services.
19.3 User Responsibility
You warrant that you possess all requisite rights and authorizations to publish your content and that it does not infringe upon any third party's copyright, trademark, privacy, or proprietary rights.
19.4 Platform Intellectual Property
The ShadoShops platform, logos, UI designs, code, trademarks, and software belong to or are licensed by BeDigital PLC and are protected by intellectual property laws. Unauthorized copying, decompilation, or exploitation is prohibited.
19.5 & 19.6 Third-Party IP and Content Moderation
Third-party marks and content displayed belong to their respective holders. ShadoShops reserves the right to remove, disable, or moderate any content reasonably suspected of infringing rights or violating policy.
20. Recommendations, Personalization, and Analytics
ShadoShops may analyze browsing activity, search history, saved items, purchases, and interactions to provide personalized feeds, product recommendations, and rankings using machine-learning technologies, recommendation engines (such as Gorse), and analytics systems.
Sellers and creators may receive aggregated analytics insights regarding shop visits, product views, and engagement. Processing of data for these purposes adheres to our Privacy Policy and Ethiopian law.
21. Legal Terms
21.1 Disclaimer
ShadoShops is provided on an "AS IS" and "AS AVAILABLE" basis to the extent permitted by law. ShadoShops does not warrant uninterrupted, secure, or error-free platform operation, nor does it manufacture or warrant independent seller goods. Use of the platform is at your own risk.
21.2 Limitation of Liability
To the maximum extent permitted by applicable law, BeDigital PLC and its directors, officers, employees, and agents shall not be liable for indirect, incidental, punitive, or consequential damages, or loss of profits, data, or goodwill. ShadoShops is not liable for conduct or products of independent third-party users.
21.3 Disputes and Governing Law
These Terms and your use of ShadoShops are governed by and construed in accordance with the laws of the Federal Democratic Republic of Ethiopia. Any dispute shall first be addressed through good-faith negotiation with ShadoShops. If unresolved, disputes may be submitted to courts of competent jurisdiction in Addis Ababa, Ethiopia.
21.4 Changes to These Terms
ShadoShops may modify these Terms periodically. Notice of material changes will be communicated through the platform or electronic notices. Continued usage after the effective date indicates assent to the updated Terms.
21.5 Severability
Invalid provisions will be enforced to the maximum extent permissible, leaving remaining terms in full effect.
21.6 No Waiver
Failure by ShadoShops to immediately enforce any provision does not waive future enforcement rights.
21.7 Entire Agreement
These Terms and incorporated policies constitute the complete agreement between you and BeDigital PLC.
